Terms & Conditions

1. Acceptance of Terms

By accessing or using SuperAuth.ai (“Service,” “Platform,” “we,” “us,” or “our”), you (“Client,” “Customer,” “you,” or “your”) agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Service.

These Terms form a legally binding agreement between you and DynaNet Healthcare Inc., a Delaware corporation and operator of SuperAuth.ai.

2. Service Description

SuperAuth.ai provides an AI-powered prior authorization automation platform offering:

  • Prior Authorization Management: automated creation, submission, tracking, and follow-up
  • AI-Assisted Automation: document intake, clinical justification generation, and predictive analytics
  • EHR Integration: bidirectional sync with FHIR-compliant systems
  • Analytics & Reporting: performance dashboards, denial insights, and ROI metrics
  • Communication Tools: payer alerts, automated follow-ups, and team notifications

We may modify, suspend, or discontinue features at any time. Material changes will be communicated in advance when feasible.

3. Account Registration and Security

Account Creation

  • You must provide accurate, current, and complete information
  • You represent that you are authorized to bind your organization
  • Each practice location must maintain its own account

Security

  • You are responsible for all actions taken under your credentials
  • You agree to maintain strong passwords and enable MFA
  • You must immediately notify us of unauthorized use or suspected breaches

Termination We may suspend or terminate access for security risks, non-payment, or violations of these Terms.

4. Acceptable Use Policy

You agree NOT to:

  • Violate any applicable law, including HIPAA or state privacy statutes
  • Attempt to access another customer’s data or any restricted system
  • Transmit malware or malicious code
  • Reverse engineer, scrape, or interfere with the Service
  • Resell or sublicense the platform without written consent
  • Use the Service to make clinical diagnoses or treatment decisions
  • Violation may result in immediate termination and legal action.

5. HIPAA Compliance and Business Associate Agreement

SuperAuth.ai operates as a Business Associate under HIPAA. By using the Service:
  • You agree to execute a Business Associate Agreement (BAA) with DynaNet Healthcare Inc.
  • You acknowledge you are a Covered Entity or Business Associate under HIPAA
  • You agree to maintain safeguards for any PHI exported from the platform
  • You must report any suspected PHI incident within 24 hours of discovery

We maintain administrative, physical, and technical safeguards consistent with:

  • HIPAA Privacy Rule & Security Rule
  • SOC 2 Type II controls
  • ISO 27001 information-security standards

6. Fees and Payment Terms

Subscription & Billing

  • Fees correspond to your selected plan and billing frequency
  • Payments are due in advance and are non-refundable, except as required by law
  • Prices may change with 30 days’ notice

Payment Authorization
You authorize automatic billing via your chosen payment method. Access may be suspended for failed payments.

Taxes
All fees are exclusive of sales, VAT, GST, or similar taxes, which are your responsibility.

7. Data Ownership and Rights

Your Data
You retain full ownership of your submitted data, including PHI, clinical documents, and case records. We claim no ownership over your data.

License to Process
You grant us a limited, non-exclusive, revocable license to process data solely for providing and improving the Service.

De-Identification and AI Training
We may use de-identified and aggregated information to improve AI accuracy and system performance, in full compliance with 45 CFR § 164.514(b)(2).

Data Export & Deletion
You may export your data at any time. Upon account termination, we will provide your export within 30 days and delete active data within 90 days, except as legally required.

8. Service Availability and Support

• Target uptime: 99.9% monthly

• Scheduled maintenance will be announced in advance

• Support hours: Mon–Fri 8 AM–6 PM ET

• Emergency response available for critical system outages

9. Limitations of Liability and Disclaimers

Important Notice
THE SERVICE IS PROVIDED “AS IS.” NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI Generated Outputs
All AI-generated clinical letters or analyses are for administrative use only. You are solely responsible for verifying accuracy before payer submission.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU DURING THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

No Medical Advice
SuperAuth.ai does not provide medical advice or decision-making. All clinical responsibility rests with licensed providers.

10. Termination

By You
You may cancel anytime through your account portal. Access continues until the end of the current billing cycle.

By Us
We may terminate or suspend service immediately for:

  • Breach of these Terms
  • Non-payment
  • Security or compliance threats

Post-Termination
Access ceases immediately; data remains available for 90 days for export. Confidentiality, payment, and indemnification obligations survive termination.

11. Indemnification

You agree to defend, indemnify, and hold harmless DynaNet Healthcare Inc., SuperAuth.ai, and their officers, employees, and agents against any claims, damages, or costs arising from:

  • Your use of the Service
  • Your violation of these Terms or applicable law
  • Your violation of third-party rights
  • Content or PHI you submit or transmit

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law principles.

Any dispute shall be resolved by binding arbitration under the American Arbitration Association’s Commercial Rules, seated in Delaware.

You waive any right to jury trial or participation in class actions.

13. Changes to Terms

We may amend these Terms periodically. Material changes will be notified by email and/or in-app notice, with the “Last Updated” date reflecting the effective change.

Continued use after changes constitutes acceptance.

14. Miscellaneous

Entire Agreement
These Terms, the Privacy Policy, and any BAA form the entire agreement.

Severability
If any clause is unenforceable, the remainder remains valid.

Waiver
Failure to enforce rights does not constitute a waiver.

Assignment
You may not assign these Terms without written consent; we may assign in connection with merger or sale.
